Provider: Proxymis (the “Provider”)

1. Acceptance

These Terms of Service (“Terms”) govern your access to and use of Dialogoo Chat, including websites, widgets, APIs, software, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and all referenced policies. If you are using the Service on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Service.

2. Eligibility & Accounts

  • Minimum age. You must be at least the age of digital consent in your country (generally 16) or have verifiable parental consent. For rooms or features marked 18+, you must be 18 or older.
  • Accurate info. Provide accurate, complete, and up-to-date registration information and keep it updated.
  • Security. You are responsible for safeguarding your account credentials and for all activity under your account.
  • Business use. Room owners/webmasters (“Webmasters”) creating communities on the platform are responsible for their rooms’ settings, rules, and compliance with these Terms and applicable law.

3. License & Ownership

Subject to these Terms, Provider grants you a limited, non-exclusive, non-transferable, revocable license to use the Service. The Service is licensed, not sold. Provider and its licensors retain all rights, title, and interest in the Service and all related IP. You must not copy, modify, reverse engineer, or create derivative works except as permitted by law or these Terms.

4. User Content & Conduct

You are solely responsible for content you create, upload, stream, send, or display (“User Content”). You represent that you have all rights necessary to do so and that your User Content and conduct comply with these rules:

  • Prohibited content/conduct: illegal content; sexual content involving minors; non-consensual or exploitative content; incitement to violence; terrorism; hate or harassment targeting protected classes; doxxing; threats; spam or scams; malware; intellectual-property infringement; impersonation; and any content violating applicable law or the rights of others.
  • Safety & legality: obey local laws, including recording/consent laws when using audio/video features. Do not stream others without their informed consent.
  • Age-restricted areas: Where rooms are flagged 18+, entry and posting are restricted to adults. Webmasters must enable appropriate age-gating where relevant.
  • Content rights to Provider: Solely for operating and improving the Service, you grant Provider a worldwide, royalty-free, transferable, sublicensable license to host, store, process, transmit, reformat, display, and distribute your User Content.
  • Feedback: You grant Provider the right to use feedback without restriction or compensation.

5. Moderation & Enforcement

  • Provider may (but has no obligation to) monitor, remove, or restrict content or accounts that, in its reasonable judgment, violate these Terms or applicable law.
  • Webmasters and their moderators may create rules for their rooms provided those rules do not conflict with these Terms.
  • Provider may preserve and disclose information as required by law or to protect users, the Service, or the public.

6. Plans, Payments & Taxes

If you purchase paid plans or add-ons, you agree to the pricing, billing cycle, and refund rules shown at checkout or in your account. Unless stated otherwise, subscriptions auto-renew until canceled. You authorize Provider (or its payment processor) to charge your payment method. Prices are subject to change with notice. You are responsible for any applicable taxes.

7. Privacy & Data

Your use of the Service is subject to our Privacy Policy and any applicable Data Processing terms for business customers. By using the Service, you consent to our collection and processing of information as described therein. Where required by law, we rely on appropriate legal bases (e.g., consent, contract performance, legitimate interests). Some data (e.g., abuse reports, security logs) may be retained as necessary for safety and compliance.

8. Copyright & IP

  • Your responsibility: Upload or stream only content you have rights to share.
  • Notices: We respond to valid IP takedown notices and may terminate repeat infringers.
  • Counter-notices: If you believe content was removed in error, you may submit a counter-notice as allowed by law.

9. Third-Party Services

The Service may integrate third-party services (e.g., payment processors, video/CDN providers). Use of those services may be subject to their own terms and privacy policies. Provider is not responsible for third-party services.

10. Availability & Changes

The Service may change over time. We may add, modify, or discontinue features. We may also apply technical limits (e.g., storage, bitrate, API limits) to maintain performance and safety. We strive for reasonable uptime but do not guarantee the Service will be uninterrupted or error-free.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Provider does not control or endorse User Content and disclaims all liability arising from it.

12. Limitation of Liability

To the maximum extent permitted by law, Provider will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Service. In no event will Provider’s aggregate liability exceed the greater of (a) the amounts you paid to Provider in the twelve (12) months preceding the claim, or (b) €100.

13. Indemnity

You agree to indemnify and hold harmless Provider, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

14. Governing Law & Disputes

These Terms are governed by the laws of [choose jurisdiction, e.g., France], excluding its conflict-of-law rules. Exclusive venue for any dispute will be the courts located in [city/country], unless applicable law provides a different forum for consumers. If you are a consumer in the EU/EEA/UK, you may have additional mandatory rights and forums. Nothing here limits your non-waivable rights.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access if we reasonably believe you have breached these Terms or pose a risk to users, the Service, or the public. Upon termination, the rights granted to you end immediately. Sections that by their nature should survive (e.g., IP, disclaimers, liability limits) will survive.

16. Miscellaneous

  • Changes to Terms. We may update these Terms. If we make material changes, we will provide notice (e.g., by email, in-product notice, or page banner). Continued use after the effective date constitutes acceptance.
  • Entire agreement. These Terms and referenced policies are the entire agreement between you and Provider regarding the Service.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
  • Language. If these Terms are translated, the English version governs in case of conflict (unless local law requires otherwise).
